Position Overview:

We are seeking an outstanding lawyer with 3-5 years securities, compliance and general corporate experience to join our rapidly growing legal team in Oakland, CA.

This lawyer will establish and maintain the securities law compliance function for BrightSource.  This lawyer will prepare and file periodic and annual reports, proxy statements and other securities law filings, including Forms 3, 4, 5, 144, S-8 and 11-K.  The position will support the management team regarding other compliance matters.  This lawyer will also handle general corporate matters, including emerging governance practices, stockholder proposals, as well as Delaware law and stock exchange compliance.

Reports to: Senior Corporate Counsel

Responsibilities:

  • Establish and maintain an ongoing securities compliance program for newly public company
  • Establish and monitor general corporate compliance programs
  • Work with legal colleagues and business teams on various corporate compliance issues
  • Provide legal advice and support for SEC filings, including 10-Qs, 10-Ks and 8-Ks
  • Prepare and facilitate the filing of SEC forms, including Forms 3, 4, and 5
  • Provide advice on corporate governance matters, reporting obligations under the Securities Exchange Act of 1934, stock exchange rules, Blue Sky filings and compliance with applicable regulations of the Financial Industry Regulatory Authority (FINRA)
  • Monitor developments in securities and executive compensation laws and conduct research on specific issues as they arise
  • Identify, analyze and report on legal and market practice developments impacting the Company's disclosure and compensation practices, including changes in laws, regulations and policies
  • Negotiating and drafting corporate documents such as NDAs and other commercial agreements
  • General corporate work

  • Minimal travel to locations as required
  • May support other executives or functions as needed
  • Performs other duties as may be determined from time to time

Qualifications:

Required Skills & Experience:

  • JD with California state bar admission
  • 3-5 years of law firm or in-house legal department work experience, with at least 2 years focused on securities disclosure and related matters including experience with SEC filings, rules and regulations
  • Experience handling general corporate compliance issues
  • Broad corporate governance experience
  • Organizational skills a must
  • Detail-orientated and meticulous practitioner
